 About Contract Research


Confidentiality -

Consideration should be given to whether there will be a need to divulge confidential information belonging to either the University or the sponsor/industry collaborator during the negotiation/application stage. If so, a Confidentiality Agreement may be necessary to protect this information. An appropriately drafted Confidentiality Agreement can be prepared by Research Legal Services.

Negotiation of Research Contracts -

As soon as it has been confirmed that a research project will proceed, steps should be taken to ensure that a legally sound contract is put in place. The Research Contracts Office acts on behalf of the University in the negotiation and preparation of research contracts, and in doing so seeks to assert the University's interests in relation to such issues as the ownership and commercialisation of intellectual property, the protection of student interests, and academic publication. The information listed below should be supplied to Research Legal Services (see contacts list) as soon as possible to facilitate the preparation of such contracts:



  • Full details of:
    University School/Centre involved in the Project;

    University Chief Investigator and their contact details;

  • Project Details/Budget -
    a copy of the project application or detailed information on the nature of the project and the work to be undertaken by the University. A copy of the budget (if prepared) will also be required.

    Note 1- For assistance in relation to the preparation of a project application and/or budget, researchers are strongly encouraged to contact either the Innovation and Commercial Development Manager for their faculty, or the Research Grants Unit at the Office of Research and Postgraduate Studies.

    Note 2 - To qualify as a research contract, the project must fall within the DEEWR definition of 'research'.

  • Name of Industry or Government Sponsor -
    the trading and registered name of the industry or government sponsor with its ARBN or ACN number (where applicable), street address and name and contact details of the responsible person within the organisation.
    Industry Contract - if the sponsor requires that its own standard contract be used, a copy of that contract will be needed for review and negotiation.
    Background Intellectual Property - identification of existing IP that will be contributed by:

    (a) the University;
    (b) the industry or government sponsor; and
    (c) Third-parties - copies of any agreement that permits the use of the IP for the project should be supplied.

  • Project Intellectual Property -
    identification of IP that is likely to arise from the project and whether it is likely to have commercial applications.

  • Publication -
    identification of the type of publications that are likely to arise from the project and whether the sponsor will require restrictions on those publications to protect IP.
  • Students -
    An indication of whether there are any students involved in the project:

    (a) the extent to which the project results will incorporate student work;
    (b) whether the industry or government sponsor has agreed to student involvement; and
    (c) details of any agreements that have been reached with the student/industry or government sponsor regarding the IP arising from the student's work.

    -
    an indication of whether the research is integral to more long-term research being conducted by the University, and whether the project results are likely to be incorporated into the teaching programs of the University.

    -
    Pro forma budgets that includes the indirect costing formula must be attached to the research agreement or contract when submitted to ORPS for negotiation or signature. A copy of the written approval from the Deputy Vice-Chancellor (Research) for a reduction in or waiving of infrastructure costs must be attached to the research agreement or contract when submitted to ORPS for negotiation or signature. All researchers are encouraged to discuss research budgets with their Research Director or Manager, Innovation and Commercial Development where relevant before committing to a price with a client or sponsor.

    an indication of whether the work is to be carried out solely by University employees and students, whether consultants or collaborators from other institutions will be used, or whether some or all of the work will be sub-contracted to outside parties (see the policy on "Engagement and Use of Outside Consultants" in the Handbook of University Policies and Procedures).

    an indication as to whether there is a likelihood of a conflict of interest arising in undertaking the research (see "Procedures for the Conduct of Research" - Handbook of University Policies and Procedures).

  • Other Legal Advice -
    Have you been provided legal advice or assistance in respect of the project by any other agency or body (eg: UniQuest)?

    Humans - Any research involving human subjects must be conducted in accordance with the requirements of the National Statement on Ethical Conduct in Research involving Humans and Supplementary Notes. Researchers must ensure that the project does not commence until approval has been given by the relevant University Ethics Committee.

    Animals - Any research involving animals shall be conducted in accordance with the current Australian Code of Practice for the Care and Use of Animals for Experimental Purposes, and any additional Supplementary Notes. Researchers must ensure that the project does not commence until approval has been given by the relevant University Ethics Committee.

    Biohazardous Material and Genetic Manipulation - If you are using either Biohazardous material or Genetic Manipulation techniques in your research, you must submit a proposal to the Institutional Biosafety Committee ("IBC"). Researchers must ensure that the project does not commence until approval has been given by the IBC.

    *Note: The Director, Research and Research Training Division("RRTD"), is the authorised University signatory for research contracts. All research contracts should therefore be sent to RRTD. Please note that research contracts will not be signed by the Director until they have been legally reviewed and negotiated (where required) by the Research Legal Services.
